Arnoks Marketplace Seller Agreement
Version MSA-1. Between Arnoks Food Corporation ("Arnoks"), Arnoks Business Hub, McArthur Highway, Block 1, Sta. Cruz, Tarlac City, Tarlac 2300, and the supplier or service provider named in the sign-up record ("you"). You accept it online by ticking the boxes and typing your full name.
1. What Arnoks Marketplace is
Arnoks Marketplace is an online platform where buyers, including Arnoks stores, other businesses and households, find and order goods and services from independent sellers. Arnoks is not the seller. You sell your own goods or services, under your own business name, at your own prices, and the contract of sale or service is between you and the buyer.
2. Checking your business
Before your listing goes live, Arnoks checks your documents (with the help of its assistant, Jarvee): your business permit, an owner's ID, and, where your goods or work require them, your sanitary permit, meat inspection certificate or PCAB contractor's license. You upload new documents before old ones expire. Arnoks may ask for more documents, may refuse or pause a listing whose documents are missing, expired or doubtful, and keeps a record of what it checked.
3. Your responsibility
You alone are responsible for the quality, safety, quantity, legality and timeliness of what you sell and of the work you do, and for any harm they cause, including foodborne illness, property damage and injury. You hold every permit, license and insurance your business needs. You follow the law on food safety, consumer protection and fair pricing. You indemnify Arnoks against claims, fines and costs caused by your goods, your work or your breach of this Agreement.
4. Receipts and taxes
You issue your own official receipt or invoice to the buyer for the full amount of each sale. You pay your own taxes. Arnoks' commission is a fee for the use of the platform; Arnoks issues its own receipt to you for it and pays its own taxes on it.
5. Commission
For every completed order, you pay Arnoks a commission of 5% of the order amount up to ₱100,000, plus 2% of any amount above ₱100,000, at most ₱50,000 per order, plus 12% VAT on the commission. The order amount is the total of the goods, or the quote the buyer accepted, without the delivery fee.
6. The commission wallet
Until Arnoks' payment gateway is ready, buyers pay you directly, in cash or to your own account. You keep a prepaid commission wallet with Arnoks: you top it up (at least ₱500 each time) by paying Arnoks through the channels in your seller console, and the commission of each completed order is taken from it. You cannot accept an order the free balance of your wallet cannot cover. If you stop selling, Arnoks refunds the unused balance within thirty (30) days of your written request.
When the payment gateway is ready, buyers will pay through Arnoks Marketplace, and the gateway will send you the amount less the commission; Arnoks will tell you thirty (30) days ahead.
7. Buyers you meet through Arnoks
For twelve (12) months after a buyer first orders from you through Arnoks Marketplace, you take that buyer's orders through Arnoks Marketplace and do not invite them to order around it. Arnoks may follow up buyers, with their consent, about reorders and other sellers.
8. Ratings, complaints and disputes
Buyers rate each completed order on time, quality and price. A buyer may report a problem within forty-eight (48) hours of completion; you answer within one (1) business day, and Arnoks (through Jarvee and its team) helps both sides settle it. Arnoks may pause a listing whose average rating falls below 3.5 stars, or that receives serious complaints, while it looks into them.
9. Pausing and ending
You may close your listing at any time. Arnoks may pause or end your listing, with the reason in writing, for missing or false documents, unsafe goods or work, unpaid commission, breach of Section 7, or repeated serious complaints. Before ending a listing for anything other than safety or fraud, Arnoks tells you the problem and gives you the chance to explain.
10. Arnoks' liability
Arnoks provides the platform as it is. To the extent the law allows, Arnoks is not liable for the goods or services you sell, or for what buyers do, and Arnoks' total liability to you under this Agreement is limited to the commissions you paid in the three (3) months before the claim.
11. Personal data
You use buyers' names, numbers and addresses only to fill their orders and keep them confidential. Arnoks handles your data as stated in its Privacy Policy at arnoks.com/privacy.
12. Accepting online and the law
You accept this Agreement electronically, valid under the Electronic Commerce Act (Republic Act No. 8792). Philippine law governs it, including the Internet Transactions Act of 2023. If we disagree, we first talk in good faith for thirty (30) days, then try mediation before going to court. Arnoks may update this Agreement with thirty (30) days' notice; changes to the commission apply only after you accept them.
