Arnoks Returning Member Agreement
Version R3 (November 3, 2026; members who accepted version R2 keep it: arnoks.com/returning-member-agreement/r2, and version R1: arnoks.com/returning-member-agreement/r1). Between Arnoks Food Corporation ("Arnoks"), Arnoks Business Hub, McArthur Highway, Block 1, Sta. Cruz, Tarlac City, Tarlac 2300, and the returning member named in the acceptance record ("you"). You accept it online by ticking the boxes and typing your full name. No notarization is needed.
1. A fresh start
This Agreement replaces every earlier arrangement between you and Arnoks about the Arnoks name, logo, recipes, territories, renewal fees and certificates, whether verbal, in chat or written, including the ₱4,999 Home-based Reseller program, the ₱8,999 package, Brand Name Franchises (BNF) and the Portable Cart packages. From your Activation Date, only this Agreement applies. Earlier certificates are replaced by your Arnoks member record.
2. Fees paid before
Fees you paid under earlier programs paid for those programs. They are not refundable and are not credited toward any new fee, except that your reactivation fee is reduced or waived as shown in Schedule A. Nothing in this Agreement takes away a right that the law gives you and that cannot be waived.
3. Your license
While this Agreement is active and you follow it, Arnoks gives you a personal, non-exclusive, non-transferable right to use the Arnoks name, logo and system to prepare and sell Arnoks products at your Recorded Spot, in your Recorded Setup. Both are stated in your activation email. You may not transfer this right or let anyone else use it without Arnoks' written consent. Moving to another spot or changing your setup needs Arnoks' written OK.
4. No exclusive area
Your Recorded Spot is entered in the Arnoks Territory Register as an existing outlet, and Arnoks will not approve another Arnoks outlet with a fixed place of business at the same address. Apart from that, no area, barangay or radius is reserved for you, and earlier promises of barangay or area exclusivity end. You may apply at any time for the ₱49,500 Starter Package under the Arnoks Franchise Agreement to get a protected territory.
5. Review, activation and the reactivation fee
A person at Arnoks reviews your answers. If Arnoks approves your return, you pay the reactivation fee in Schedule A, if any, only to the official Arnoks corporate account named in Arnoks' payment email. The ₱1,999 reactivation fee includes the Reactivation Kit listed in Schedule A, which Arnoks ships to you after your Activation Date. You pay the delivery fee, to the courier when the kit arrives, unless you pick it up at the Arnoks Business Hub. Your Activation Date is the day Arnoks confirms your activation in writing (email is enough). If Arnoks does not approve your return, you pay nothing. If Arnoks cannot activate you after you paid, it refunds the fee within fifteen (15) days. Once you are activated, the reactivation fee is non-refundable.
6. Term
This Agreement lasts one (1) year from the Activation Date. It renews for another year each time at no fee, unless either of us gives the other thirty (30) days' written notice, or it ends under Section 13.
7. Royalty
From one (1) calendar month after your Relaunch Date, you pay Arnoks a royalty of 3.5% of your Gross Sales, inclusive of VAT if any.
- Relaunch Date: the first day you sell under this Agreement, which you report to Arnoks in writing. If you are already selling on the Activation Date, it is the Activation Date.
- Gross Sales: all sales of food and drinks from your Arnoks outlet, in store, online and through delivery apps, at the amount charged to the customer after discounts required by law (such as senior citizen and PWD discounts) and promotional discounts Arnoks approved, and before any expenses, costs, taxes or fees.
- When to pay: twice a month, on the same Royalty Periods as the Arnoks Franchise Agreement. Sales from the 26th to the 10th are due on the 15th. Sales from the 11th to the 25th are due on the 30th (the last day of February). A due date that is not a business day moves to the next business day. With each payment you report your Gross Sales for the period; POS Lite and the royalty calculator help.
- Late payment: interest of one percent (1%) a month on the unpaid amount.
- Taxes: Arnoks bears its own taxes on the royalty. If the law requires you to withhold tax, the amount withheld counts as paid once you give Arnoks the BIR certificate.
8. Supplies
You buy the Arnoks premixes and other products made with Arnoks' secret formulas only from the Arnoks Commissary, at its current price list. Price changes are announced at least fifteen (15) days ahead and follow Arnoks' costs. You may buy chicken, oil, rice, packaging and other ordinary supplies from any supplier, as long as they meet the Arnoks Academy standards.
9. Standards
You follow the Arnoks Academy recipes, the food-safety rules and the Arnoks brand guide, and you sell only genuine Arnoks products under the Arnoks name. Arnoks may check your outlet and products during business hours; for a home-based outlet, only the cooking and selling area, with twenty-four (24) hours' notice except in response to a food-safety complaint. Arnoks will not refuse without reason a recipe change that keeps quality and food safety, such as an adjustment to local conditions.
10. Your business
You run your own independent business. Your staff work for you, not for Arnoks. You get and keep your own business permits, health certificates and BIR registration, and you issue your own invoices. Arnoks does not guarantee any sales, income or profit. Results depend on your location, effort and costs.
11. Brand, confidentiality and improvements
The Arnoks name, logo and recipes belong to Arnoks, and you acknowledge Arnoks' rights in them. You will not register any business name, trademark, domain, page or account that uses them without Arnoks' written OK. You keep the Arnoks recipes, premix information and Academy materials confidential, during this Agreement and for five (5) years after it ends (and for as long as a recipe remains a trade secret). If you develop an improvement, you tell Arnoks and Arnoks may use it, in exchange for Arnoks' continuing duty to share its own improvements with you.
12. Arnoks' support
While you are active, Arnoks gives you access to the Arnoks+ system (your member dashboard and its tools, including POS Lite, the royalty statements, the AI batch check and the Arnoks assistant), the Arnoks Academy videos, relaunch guidance from the Arnoks team, and Kitchen Essentials ordering from the Arnoks Commissary. Arnoks will defend you against third-party claims that your proper use of the Arnoks name or logo under this Agreement infringes their rights. Daily promotion. Each morning Arnoks shares the day's promotional post through your franchisee portal, where it appears before your dashboard. You are encouraged to share it on your store's Facebook Page and your personal social media; one share a day helps grow your sales and the brand you are building.
13. Ending early
Either of us may end this Agreement with thirty (30) days' written notice. Arnoks may end it at once by written notice if you: (a) sell products that are not genuine Arnoks products as Arnoks products; (b) seriously breach food-safety rules or are closed by a government authority; (c) do not pay royalties or Commissary invoices within thirty (30) days after written notice; (d) misuse the Arnoks name or logo; or (e) gave false answers in your application.
14. After it ends
Within seven (7) days you stop using the Arnoks name, logo and signs, stop presenting any product as an Arnoks product, and pay what you owe. Section 11 continues. If this Agreement ends early because of your breach under Section 13, then for one (1) year you also may not sell products made with the Arnoks recipes or premixes under any other name.
15. Changes
Arnoks may update the Academy standards, the brand guide and the Commissary price list with thirty (30) days' notice. Arnoks may not raise the royalty rate or add a new fee without your written or electronic consent.
16. Your personal data
Arnoks handles your personal data as stated in its Privacy Policy at arnoks.com/privacy. Privacy questions: privacy@arnoks.com.
17. Accepting online
You accept this Agreement by ticking the boxes and typing your full name on the Arnoks website. You and Arnoks agree this is valid under the Electronic Commerce Act (Republic Act No. 8792). Arnoks keeps a record of the date and time, the version you accepted, your answers and the technical details needed to prove it, and emails you a copy. No notarization is needed.
18. Law, disputes and the Intellectual Property Code
Philippine law governs this Agreement. If we disagree, we first talk in good faith for thirty (30) days, then try mediation before a mediator we agree on. Any court case is filed in the city or municipality where you live. The parties intend this Agreement to comply with Sections 87 and 88 of the Intellectual Property Code (Republic Act No. 8293); a term found to be prohibited is limited or removed, and the rest remains in effect.
19. Whole agreement
This Agreement, with Schedule A and the Privacy Policy, is the whole agreement between you and Arnoks on your return.

The Reactivation Kit (included in the ₱1,999): 1 pouch of Arnoks Original premix, 1 pack of Arnoks Gravy (500 g) and 1 thermal gun (temperature gun), with access to the Arnoks+ system and to Kitchen Essentials ordering.
Fees are inclusive of VAT, if applicable.
